Terms of Service

3.1 Eligibility

You declare that you are at least 18 years old (or of legal adult age in your jurisdiction).

3.2 Account registration

To access the Service, you must create an Account and provide accurate and complete information.

3.3 Security

You are responsible for maintaining the confidentiality of your Account credentials. You must notify us immediately if you suspect any unauthorized use of your Account.

3.4 Right to refuse

We reserve the right to refuse or suspend Accounts at any time if we suspect misuse, breach of these Terms, or illegal activity.

4.1 Subscription types

The Service is offered under various plans (Free, Base, Pro, Enterprise, or similar), as defined on our website/pricing page.

4.2 Billing cycles

Subscriptions may be billed monthly or annually. Recurring billing continues until cancellation.

4.3 Payment methods

Payments are processed via the payment provider selected (e.g. Stripe, Paddle, etc.). You agree to provide valid payment details.

4.4 Taxes

Prices are indicated excluding taxes; applicable taxes will be billed as required by law.

4.5 Non‑payment / Suspension

If payment fails or is declined, we may suspend or terminate your Account after reasonable notice.

4.6 No refund policy

Unless otherwise stated, payments are non‑refundable; partial periods will not be credited or refunded.

4.7 Changes to pricing

We may update our pricing. Existing Subscriptions remain at their current price until renewal; new Subscriptions adopt updated pricing.

5.1 Permitted use

The Service is provided for legitimate business or professional use only. You must use it in compliance with applicable laws and regulations.

5.2 Prohibited use

You must not:

• upload or share illegal, illicit, infringing, defamatory or harmful content;
• attempt to decompile, reverse‑engineer, copy or circumvent Service security;
• use the Service to process ultra‑sensitive personal data (e.g. health, biometric, political) unless explicitly agreed and compliant with applicable laws;
• attempt unauthorized access to other users' data;
• use the Service to commit or facilitate wrongdoing, spam, or malicious behavior.

5.3 Responsibility for User Content

You retain all rights to your User Content. You grant us a license (non‑exclusive, worldwide, royalty‑free) to host, process, and display your Content to provide the Service.

5.4 Data backups

While we implement reasonable backup and redundancy policies, you remain responsible for maintaining local backups of your critical data. We are not liable for data loss or corruption.

5.5 Human verification

Since the Service includes AI‑generated outputs (transcripts, summaries, actions, deliverables), we encourage human verification before acting on these. You remain solely responsible for the business decisions taken based on those outputs.

6.1 Nature of outputs

Outputs generated by the AI modules (transcripts, summaries, analyses, context graphs, suggestions, deliverables) are provided "as‑is."

6.2 No guarantee of accuracy

While the Service uses advanced models and algorithms, we do not guarantee perfect accuracy or completeness.

6.3 Liability limitation

Perceptio is not liable for errors, omissions, consequences, or damages arising from the use of AI‑generated outputs.

6.4 Human review

It is the User's responsibility to verify and approve any action proposed by the AI before execution, especially critical decisions.

7.1 Your Content

You retain ownership of all your User Content and all intellectual property rights therein.

7.2 Perceptio Platform

All rights, title and interest in the Service (software, models, algorithms, design, documentation, trademarks) remain with Perceptio or its licensors.

7.3 License grant

Subject to your compliance with these Terms, Perceptio grants you a limited, non‑exclusive, non‑transferable license to use the Service for your internal purposes.

7.4 Restrictions

You may not reproduce, distribute, publicly display, modify, sublicense, or create derivative works from the Service.

8.1 Term

These Terms take effect when you accept them (account creation or first use) and remain in force as long as you use the Service.

8.2 Termination by user

You may terminate your Account at any time via your account settings. Termination does not entitle you to any refund for unused subscription period.

8.3 Termination by Perceptio

We may suspend or terminate your access, with or without notice, if you violate these Terms, if there is risk of fraud or illegal use, or if we discontinue the Service.

8.4 Effect of termination

Upon termination, your license to use the Service ends. We may immediately block access. You remain responsible for any outstanding payments. We may delete your User Content after a reasonable notice period, unless you export it before.

9.1 Service provided "as‑is"

Perceptio disclaims all warranties, express or implied, including fitness for a particular purpose, non‑infringement, uptime, error‑free operation.

9.2 Indirect / Consequential damages

To the maximum extent permitted by law, Perceptio is not liable for business interruption, loss of profits, data loss, or other consequential damages.

9.3 Capped liability

Where allowed by law, Perceptio's total liability shall not exceed the amount paid by you over the preceding 12 months.

9.4 Exceptions

Nothing in these Terms excludes liability for gross negligence, willful misconduct, personal injury or death caused by gross negligence.
